Across enterprises, agent ecosystems negotiate contracts, coordinate logistics, and compete in markets. At the societal level, AI systems influence public opinion, allocate resources, and shape policy. The governance question is no longer "How do we control an AI?" but "How do we govern a society of AIs?"

This shift demands a corresponding theoretical shift. Individual agent alignment — ensuring that a single agent pursues its intended objective — is necessary but insufficient. Even perfectly aligned individual agents can produce catastrophic collective outcomes through emergent dynamics, competitive pressures, or coordination failures. The tragedy of the commons, the prisoner's dilemma, and the race to the bottom are not artifacts of individual irrationality; they are structural properties of multi-agent interaction. No amount of individual metacognition eliminates them.

The discipline that has studied precisely this class of problems for centuries is institutional economics. Institutions — the formal and informal rules, norms, and enforcement mechanisms that structure human interaction — exist because individual rationality does not guarantee collective welfare. Markets need property rights. Democracies need constitutions. Companies need governance structures. The insight is profound in its simplicity: the rules of the game matter as much as the players.

We propose that AI governance must undergo an analogous maturation. The field has focused heavily on the "players" — alignment techniques, reward modeling, safety training — while neglecting the "rules" — the institutional structures within which agents operate. This article provides a formal theory of institutional design for agentic societies, spanning three levels of analysis:

Level 1: The Agentic Company. Within a single organization, humans and AI agents collaborate through a Decision Operating System (DOS) that formalizes evidence gathering, policy application, gate checking, auditing, and feedback. 2. Background

This definition emphasizes three properties: institutions are (1) rules, not players; (2) humanly devised, not natural; and (3) constraints, not objectives. North distinguished between formal institutions (constitutions, laws, property rights) and informal institutions (norms, conventions, codes of conduct), arguing that both shape economic performance through their effects on transaction costs and incentive structures.

Within permitted categories, specific actions may be further constrained by conditions (time limits, scope limits, resource limits, approval requirements). The hierarchy enables graduated autonomy: routine actions within well-understood domains are broadly permitted, while novel or high-impact actions require specific authorization.

7.3 Update Constraint

The constitution constrains how AI systems evolve. Any update to AI parameters must satisfy:

Constitutional violations trigger a graduated response:

8. Constitutional Revision

8.1 The Need for Revision

A constitution that cannot change is brittle. As technology evolves, social values shift, and new challenges emerge, a static constitution becomes either irrelevant (ignored because it no longer fits reality) or harmful (enforced despite being misaligned with current needs). Constitutional revision mechanisms allow the governance framework to adapt while maintaining stability.

The challenge is that revision itself can be destabilizing. Changing the rules of the game while the game is in progress creates uncertainty, enables strategic manipulation, and can trigger cascading adjustments that amplify rather than damp perturbations. The revision mechanism must therefore be carefully designed to allow necessary adaptation while preventing destabilizing manipulation.

8.2 Revision Rule Structure

The RevisionRule component of the AI constitution specifies three requirements for any constitutional amendment:

Requirement 1: Multi-stakeholder consensus. Constitutional amendments require agreement from multiple stakeholder groups, not merely the proposal of a single party. Stakeholder groups include: AI system operators, human workers affected by AI decisions, external regulators, domain experts, and public representatives. The consensus threshold is set higher than for ordinary policy changes (e.g., supermajority rather than simple majority), reflecting the higher stakes of constitutional modification.

Requirement 2: Risk re-evaluation. The AI constitutional revision process mirrors political constitutional amendment processes in several ways. Both require supermajority consensus (reflecting the high stakes of fundamental rule changes). Both involve deliberation (risk assessment corresponds to legislative debate). Both include implementation safeguards (trial periods correspond to ratification processes). However, AI constitutional revision has a significant advantage: the ability to simulate proposed amendments before adoption, testing their effects in computational models before committing to real-world implementation. This simulation capability reduces the cost of experimentation and enables more frequent, better-calibrated constitutional evolution than is possible in political systems.


9. Meta-Governance

9.1 Institutions Governing Institutions

Meta-governance is the governance of governance itself. Just as individual agents need governance to coordinate, governance institutions need meta-governance to remain effective, fair, and adaptive. The meta-governance layer answers questions that the governance layer cannot answer about itself: Are the current institutional rules still appropriate? Are the weight parameters in J_soc correctly calibrated? Is the constitutional revision process itself well-designed? Are there systematic biases in how institutions evolve?

9.2 Meta-Governance Dynamics

Meta-governance creates a recursive structure: agents are governed by institutions, which are governed by meta-institutions, which are governed by meta-meta-institutions, and so on. In practice, the recursion terminates at a fixed point where the meta-governance rules are self-consistent — they would not modify themselves even if applied to themselves. Finding such fixed points is a non-trivial design challenge, related to the notion of reflexive stability in game theory.

The recursion is bounded by the Speed Alignment Principle applied at each level. Meta-governance must evolve no faster than the stakeholders' ability to understand and evaluate governance changes. This prevents meta-governance from becoming an opaque, rapidly evolving system that is itself beyond human comprehension — precisely the failure mode that institutional governance was designed to prevent at the agent level.

9.4 Self-Correcting Governance

The combination of audit mechanisms, feedback loops, and meta-governance creates a self-correcting system. When institutional rules are too strict (blocking beneficial actions), feedback signals detect the constraint through reduced J_soc values, and the meta-governance process relaxes the constraints. When rules are too loose (admitting harmful actions), audit violations increase, feedback detects the problem, and meta-governance tightens constraints. The system converges to a governance configuration that balances efficiency and safety — not because any single designer specified the optimal configuration, but because the feedback dynamics drive the system toward it.

9.5 Connection to MARIA OS Architecture

In MARIA OS, the Galaxy level of the coordinate system (G in G.U.P.Z.A) implements meta-governance. Galaxy-level rules govern how Universes are configured, how cross-Universe interactions are managed, and how the overall system evolves. Universe-level governance (policies, gates, audit requirements) operates within the constraints set by Galaxy-level meta-governance. This hierarchical structure maps directly onto the recursive meta-governance framework: each level governs the level below while being governed by the level above.


10. Simulation and Evaluation

10.1 Experimental Setup

We evaluate the institutional design framework through large-scale simulation experiments. This represents the full framework proposed in this article.

This simulation capability instantiates the trial operation requirement of the revision rule, enabling evidence-based constitutional design before deployment to production systems.


12. Conclusion

This article has argued that the governance of agentic societies is fundamentally an institutional design problem, not merely a technology problem. Individual agent alignment is necessary but insufficient; the coordination, stability, and fairness of multi-agent systems require institutional structures that constrain collective dynamics within bounded envelopes.

We have developed a unified formal framework spanning three scales. At the company level, the Decision Operating System (DOS) channels all consequential decisions through evidence, policy, gate, audit, and feedback stages, with responsibility decomposition ensuring human accountability and multi-layer gates providing graduated autonomy. At the societal level, the AI Constitution (Authority, Constraint, Accountability, Transparency, RevisionRule) defines the boundaries within which all AI systems operate, with the Speed Alignment Principle ensuring that human governance capacity tracks AI capability evolution. At the meta-governance level, recursive institutional design creates self-correcting governance systems that adapt to changing conditions without destabilizing.

The key insight crystallizes in a complementary pair: metacognition is the governance mechanism for individual agents; meta-governance is the governance mechanism for institutions. Both follow the same pattern — monitor, evaluate, adjust — but operate at different scales. Both are necessary: metacognition without meta-governance produces individually stable but collectively chaotic systems; meta-governance without metacognition produces institutionally rigid systems with internally unstable components.

Simulation experiments across 600 runs confirm that adaptive institutional frameworks dramatically outperform both unregulated and rigidly regulated alternatives. The spectral radius reduction from 1.14 to 0.82, the social objective improvement from 0.21 to 0.70, and the constitutional amendment success rate increase from 41.8% to 73.2% provide quantitative evidence for the value of formal institutional design.

The practical implications are immediate. What this article provides is the theoretical foundation that justifies these mechanisms, the formal framework that guides their calibration, and the meta-governance architecture that ensures they evolve appropriately. The path from agentic companies to agentic societies runs through institutional design. The rules of the game determine the quality of the play.
